These Terms govern your access to and use of Thali (the "Service"), an OpenAI-compatible API gateway that routes your requests to third-party and self-hosted AI models, operated by Thali ("Thali", "we", "us"), a sole proprietorship based in India. By creating an account or using the Service you agree to these Terms.

1. Eligibility and account

You must be at least 18 and able to form a binding contract under the Indian Contract Act, 1872. You are responsible for the security of your account, your API keys, and all activity under them. One account is permitted per verified email or phone number; mass or automated registration is prohibited.

2. The Service

Thali provides a single API across many AI models. We route each request to a model provider (for example Novita) or to infrastructure we operate, and meter usage. Model availability, pricing, and providers may change; we will use reasonable efforts to give notice of material changes. We do not guarantee that any specific model remains available.

3. Acceptable use

You agree not to use the Service to: break any law of India or of a jurisdiction that applies to you; infringe intellectual property or privacy rights; generate child sexual abuse material, or content that is unlawful, defamatory, or incites violence; attempt to bypass rate limits, credits, or security; resell or sublicense the Service except under a separate written agreement; or violate the acceptable-use terms of any underlying model provider we route you to. We may suspend access to protect the Service, our providers, or other users.

4. Payments, credits and GST

Paid usage is charged against a prepaid credit balance, in Indian Rupees. Prices are shown per million tokens. We are not currently registered for GST, so prices are exclusive of it and we do not issue GST tax invoices. If and when we register, GST will be added at the applicable rate and a tax invoice issued; we will notify you before that takes effect. Promotional credit (including signup and referral bonuses) has no cash value, is non-transferable, and may be restricted to specific models. Except where required by law, payments are non-refundable; unused paid credit may be refunded at our discretion, net of costs.

5. Your content and data

You retain all rights to the prompts you send and the outputs you receive ("Your Content"). We do not store prompt or completion content and do not use it to train models. We process only the metadata needed to run and bill the Service (see the Privacy Policy). Outputs are generated by statistical models and may be inaccurate; you are responsible for reviewing them before relying on them.

6. Third-party models and providers

Models are made by third parties and served by providers with their own terms. Your use of a given model is also subject to that model's and provider's terms where they apply. We are not liable for the content, accuracy, or availability of any third-party model.

7. Intellectual property

The Thali name, brand, site, and software are owned by Thali's proprietor. We grant you a limited, non-exclusive, non-transferable licence to use the Service per these Terms. You grant us the right to use feedback you volunteer, without obligation.

8. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind to the extent permitted by law. To the maximum extent permitted by applicable Indian law, our aggregate liability arising from the Service is limited to the amount you paid us in the three months before the event giving rise to the claim. Nothing limits liability that cannot be excluded under law.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, legal reasons, or risk to the Service, with notice where practicable. Provisions that by nature should survive (payment, IP, disclaimers, liability, governing law) survive termination.

10. Governing law and disputes

These Terms are governed by the laws of India. Subject to applicable law, the courts at Bengaluru, Karnataka have exclusive jurisdiction. The parties will first attempt to resolve disputes through good-faith discussion.
